Terms of Service

The agreement between EaseHawk Technologies Private Limited and each clinic that uses QivoClinic. Plain sentences, no marketing language.

01Agreement

These Terms govern access to and use of the QivoClinic platform, websites, portals and related services. By creating an account or signing an order form you agree to them on behalf of your clinic. If you do not agree, do not use the service.

02The service

QivoClinic provides clinic operations and growth software: website and booking pages, WhatsApp and email communication, appointment and queue management, records, prescriptions, billing, analytics and AI assistance. Features vary by plan and region.

Not a medical provider. QivoClinic is software. It does not practise medicine, and every clinical decision remains with a licensed professional. AI-generated notes, briefs and drafts must be reviewed before use.

03Accounts and users

  • You must provide accurate information and keep credentials secure.
  • You are responsible for all activity under your clinic's accounts and for assigning roles appropriately.
  • You must ensure your staff use the service lawfully and in line with these Terms.

04Your data and responsibilities

You own your clinic and patient data. You grant us the rights needed to host, process and display it to deliver the service. You are responsible for:

  • Obtaining patient consents required under applicable law, including for WhatsApp and email messaging
  • The accuracy and lawfulness of records you enter
  • Configuring communication templates appropriately for your jurisdiction
  • Compliance with medical-record retention and professional-conduct rules

05Messaging and third-party channels

Messaging relies on WhatsApp Business, telecom and email providers. Their policies apply, including restrictions on unsolicited messages. We may suspend messaging that violates those policies or generates complaints.

06Fees and payment

Fees are stated in your order form or plan page, exclusive of applicable taxes, billed in advance for the chosen term. Late payment may result in suspension after notice. Fees are non-refundable except where required by law or stated in writing.

07Acceptable use

  • No unlawful, harmful or misleading use, including fraudulent reviews or spam
  • No attempt to access other tenants' data or circumvent security
  • No reverse-engineering or reselling without written permission
  • No uploading of malicious code

08Intellectual property

QivoClinic, its software, designs and trademarks belong to EaseHawk Technologies Private Limited. You receive a limited, non-exclusive, non-transferable licence to use the service during your subscription. Clinic logos and content you upload remain yours.

09Availability, support and changes

We target 99.9% monthly uptime, excluding scheduled maintenance announced in advance. Support hours and channels are listed on your plan. We may improve or change features; material reductions will be notified at least 30 days ahead.

10Security and data protection

Our Privacy Policy and Data Processing Terms form part of these Terms. Each party will comply with data protection law applicable to it.

11Term, suspension and termination

The agreement runs for the subscription term and renews unless cancelled before renewal. Either party may terminate for material breach not cured within 30 days of notice. On termination you may export your data for 30 days, after which it is deleted per our retention schedule.

12Warranties and liability

The service is provided with reasonable skill and care. To the extent permitted by law, we exclude implied warranties, and our total liability in any 12-month period is limited to the fees paid for that period. We are not liable for indirect or consequential loss, or for clinical outcomes. Nothing limits liability for fraud, death or personal injury caused by negligence.

13Governing law and disputes

India customers: laws of India, courts at Gurugram, Haryana. UAE customers: laws of the UAE, courts of the UAE. Saudi customers: laws of the Kingdom of Saudi Arabia. Parties will attempt good-faith resolution for 30 days before proceedings.

14General

Entire agreement; severability; no waiver; assignment only with consent except to an affiliate or successor; notices by email to the addresses on file; force majeure.
